By accessing www.codekap.in or hiring us to execute design, web development, mobile applications, custom software, CRM/ERP platforms, AI integrations, or marketing services, you agree to comply with and be bound by the following terms and conditions.

1. Project Proposal & Engagement Scope

All software engineering milestones and design iterations are explicitly outlined in our commercial scope proposals. Any change, feature addition, or scaling request beyond the agreed scope document will be subject to a fresh cost assessment and timeline extension.

2. Client Review and Staging Sign-Off

We provide staging links (e.g., Vercel previews or private IP containers) for code evaluation. The client is responsible for reviewing and verifying the features, content accuracy, and mobile layouts during the review window. Code transfer to production hosting is initiated only after receiving client sign-off.

3. Intellectual Property and Source Code Handover

Upon receiving 100% of the milestone billing payments, the intellectual property, design templates, and full source code of the customized deliverables will be transferred to the client. CODEKAPS DIGITAL INNOVATIONS PRIVATE LIMITED retains ownership of pre-existing core platform modules, framework structures, and reusable components.

4. Code Hosting and Third-Party API Billings

Unless explicitly specified in writing, the cost of hosting nodes (AWS, Google Cloud, Vercel), domain renewals, SMS gateways, and API tokens (such as OpenAI, WhatsApp Cloud API, maps) are to be paid directly by the client under their own credit accounts. We are not liable for service suspensions caused by non-payment of third-party bills.

5. Limitation of Liability

Under no circumstances shall CODEKAPS DIGITAL INNOVATIONS PRIVATE LIMITED be liable for any lost profits, database losses, network hacks, or downtime damages arising from the launch of the deliverables, except as outlined in our active maintenance support SLAs.

6. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any legal disputes or claims arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Bihar, India.
